Terms of Service
These Terms of Service ("Terms") are an agreement between you (the merchant or business using the service) and Voidworks ("we", "us") governing your use of the GMC Auditor application and website (together, the "Service"). By installing the App or using the website, you agree to these Terms.
1. The Service
GMC Auditor is a diagnostic tool for Shopify merchants. It reads product data from your Shopify store and product status data from your Google Merchant Center account, compares them, and produces reports, alerts, and guidance about synchronization discrepancies. The Service is informational: it identifies and explains issues; unless a feature explicitly states otherwise and you explicitly trigger it, the Service does not modify your store, your feeds, or your Merchant Center account.
2. Eligibility and accounts
- The Service is a business tool intended for merchants and their authorized staff. You must have the authority to connect the Shopify store and Google account you link to the Service.
- You are responsible for maintaining the security of your Shopify and Google accounts. You can revoke the Service's access at any time via your Shopify admin or your Google account permissions.
3. Subscriptions, trials, and billing
- Paid plans are billed through Shopify's billing system on the schedule shown at purchase. Trial periods, where offered, convert to paid subscriptions unless cancelled before the trial ends.
- You can cancel at any time by uninstalling the App or downgrading; cancellation stops future charges. Charges already incurred are handled in accordance with Shopify's billing practices.
- We may change plan pricing or features with at least 30 days' notice to active subscribers.
4. Acceptable use
You agree not to: use the Service to violate any law or third-party terms (including Shopify's and Google's); attempt to probe, disrupt, or overload the Service; reverse engineer it except where the law permits; resell or provide the Service to third parties without our agreement; or use it with data you have no right to process.
5. Third-party services
The Service depends on Shopify and Google platforms and APIs, which are governed by their own terms and may change or become unavailable in ways outside our control. GMC Auditor is an independent product of Voidworks and is not affiliated with, endorsed by, or sponsored by Google or Shopify. "Google", "Google Merchant Center", "Shopify", and related marks are the property of their respective owners.
6. Important disclaimers
- The Service reports on data provided by Shopify's and Google's APIs, which may itself be delayed, incomplete, or inaccurate. Reports reflect the state of that data at the time shown in the Service ("data as of"), not necessarily real time.
- We do not and cannot guarantee any outcome with Google, including product approval, listing visibility, ad performance, prevention of account suspension, or reinstatement of a suspended account. Guidance provided by the Service is informational and is not a promise of results.
- The Service is not legal, tax, or compliance advice.
- The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and (b) our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim (or USD $100 if you have paid nothing). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
8. Your data and our IP
- Your store and Merchant Center data remain yours. You grant us the limited rights needed to process that data to provide the Service, as described in our Privacy Policy.
- The Service, including its software, design, diagnostics logic, and content, is owned by Voidworks and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription is active.
- If you send us feedback or suggestions, we may use them without obligation to you.
9. Termination
You may stop using the Service at any time by uninstalling the App and disconnecting your Google account. We may suspend or terminate access for breach of these Terms, abuse of the Service, or where required by law or by our platform providers; where practical, we will notify you first. Upon termination, your data is deleted as described in the Privacy Policy.
10. Changes to the Service or these Terms
We may modify the Service over time (the Service is under active development, and early-access features may change or be withdrawn). If we make material changes to these Terms, we will update the effective date above and notify active users by email or in-app notice before the changes take effect; continued use after that constitutes acceptance.
11. Governing law
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles, and disputes are subject to the exclusive jurisdiction of the courts of Singapore.
